With this financing, the company takes a further step in strengthening its financial structure, extending its debt maturity profile and increasing its flexibility to manage the business with discipline under any market conditions.<\/p><p>The transaction was met with strong demand from a broad base of international institutional investors, marking a significant milestone in the company\u2019s history. The process reflects market confidence in Audax\u2019s business model, financial evolution and execution capabilities.<\/p><p>The \u20ac350 million Notes, maturing in 2031, will carry an annual coupon of 7.50% and remain subject to customary closing conditions for this type of transaction. The Notes are expected to be issued on 22nd May 2026.<\/p><p>Audax intends to use the proceeds from the issuance, together with cash on balance sheet, to refinance the bonds currently outstanding and maturing between 2027 and 2028, amounting to a total of \u20ac352 million. The company will also allocate part of the proceeds to reduce drawings by approximately \u20ac56 million under the promissory notes issued through the MARF and AIAF programmes.<\/p><p>Through this transaction, Audax strengthens its capital structure and continues to advance its financial strategy in line with its 2026\u20132030 strategic plan. The transaction also contributes to maintaining the Group\u2019s net financial debt to EBITDA ratio below 3.0x, in line with the commitment communicated to the market, while continuing the reduction of gross financial debt and reinforcing the company\u2019s financial flexibility.<\/p><p>In connection with the transaction, S&amp;P Global Ratings and Fitch Ratings have assigned Audax corporate credit ratings of \u2018BB-\u2019 and \u2018B+\u2019, respectively, as well as a \u2018BB-\u2019 rating to the Notes. These new ratings strengthen Audax\u2019s visibility in the international capital markets.
