  1. LEGAL TERMS AND CONDITIONS OF ACCESS AND USE

Accessing and browsing the website www.audaxrenovables.com (hereinafter, the “Website”) confers the status of USER upon the person doing so and implies acceptance of these terms and conditions, in the version published at the time of access. The USER undertakes to use the Website diligently and in accordance with the law, good faith, public order and these terms and conditions. The USER is advised to read this Legal Notice carefully and periodically, as it may be subject to change.

AUDAX is subject to supervision by the Spanish National Securities Market Commission (CNMV), in its capacity as an issuer of securities admitted to trading on Spanish regulated markets. The CNMV’s contact details and its official register of regulated information are available at www.cnmv.es.

  1. PURPOSE AND SCOPE

This Legal Notice governs access to, navigation of and use of the Website, as well as the liabilities arising from the use of its content (including, but not limited to, texts, documents, photographs, audiovisual material, graphic design, code and software). Access to certain content or services may, where applicable, be subject to specific terms and conditions, which shall take precedence over this Legal Notice insofar as they are not incompatible with it.

  1. USE OF THE WEBSITE. USER OBLIGATIONS

The USER undertakes to make proper use of the Website, its content and services, and, in particular, agrees not to: (a) Use the Website for purposes that are unlawful, illegal or contrary to good faith; (b) Introduce or disseminate viruses, malware or any other element that may damage, render inoperable or alter the systems of AUDAX or third parties;  (c) Attempt to gain unauthorised access to restricted areas of the Website, systems or networks; (d) Remove, circumvent or manipulate any protective devices or security systems; (e) To transmit data that infringes the property rights of third parties, or whose content is threatening, defamatory, obscene, unlawful or constitutes incitement to criminal conduct; (f) To include or communicate false or inaccurate content that misleads other USERS or AUDAX staff; (g) Using the Website to send unsolicited commercial communications (spam) or to carry out unauthorised advertising activities. Should the USER detect any anomaly, vulnerability or suspicious behaviour on the Website that could compromise the security of the information systems, they must report this immediately to AUDAX via the channel provided for this purpose: ciberseguridad@audax.com. AUDAX reserves the right to deny or withdraw access to the Website from any USER who breaches these terms and conditions, without prior notice.

  1. ACCURACY AND UPDATES

AUDAX makes reasonable efforts to ensure that the information published on the Website is accurate and up to date. However, in general, the Website may contain errors, inaccuracies or out-of-date information, and AUDAX cannot guarantee the completeness of the content at all times. The foregoing shall not apply to regulated information published on the Website in compliance with applicable securities market regulations, in respect of which AUDAX assumes the responsibility incumbent upon it under the applicable regulations regarding accuracy, truthfulness and completeness. AUDAX may, at any time, modify, update, suspend or remove content and services from the Website, as well as restrict or prevent access for technical, security, maintenance or improvement reasons.

  1. INTELLECTUAL PROPERTY
    • Copyright and content: All information contained on the Website, as well as its graphic design and the code used, is protected by copyright or other protective rights set out in current legislation on intellectual and industrial property. These rights belong exclusively to AUDAX or its licensors. All content on the Website — including designs, text, graphics, images, video, information, documents, applications, software, music, sound and other files, as well as their selection and arrangement (the “Content”) — is the exclusive property of AUDAX or its licensors, with all rights reserved. Any unauthorised use of the content (reproduction, distribution, public communication, making available, adaptation or any other form of use), whether in whole or in part, is expressly prohibited without the prior and express authorisation of the rights holder, except in cases permitted by applicable legislation.
    • Downloading and printing for private use: Content from the Website may only be downloaded and printed for strictly private, non-profit and non-commercial purposes. It is expressly prohibited to publish, reproduce or use such content for electronic newsletters, company intranets or the Internet, or to licence, sell or distribute content by any means without the express written authorisation of AUDAX. In particular, no content from the Website may be modified, copied, distributed, framed, republished, downloaded (except for private use), extracted, published, transmitted or sold in any way or by any means, in whole or in part, without the prior written consent of AUDAX. The foregoing is without prejudice to the specific terms of use set out for the graphic materials and logos made available to the media on the Website, which are governed by their own terms of use.
    • Trademarks: All trademarks, logos and anagrams displayed on the Website are the property of AUDAX or of third-party companies that have authorised their use. The use, without prior consent, of any element of the Website protected by industrial property law is expressly prohibited. In particular, trademarks, trade names, signs, designations, logos, slogans or any other distinctive sign belonging to AUDAX may not be used. Notwithstanding the foregoing, where provided for in the specific terms of use set out on the Website, the media may download and use AUDAX’s official logos exclusively for editorial and informational purposes relating to AUDAX, and in accordance with the specific terms and conditions published for that purpose. Any use other than editorial use — including commercial, advertising or promotional uses — will require prior written authorisation from AUDAX, which may be requested at: comunicaciones@audaxrenovables.com.
  2. HYPERLINKS
    • Conditions for linking to the Website: Any USER or operator of third-party websites wishing to include a link from their own page to the AUDAX Website must comply with the following conditions; ignorance of these conditions does not exempt the user from the liabilities arising under the law:
      1. The link must only link to the home page of the Website, without reproducing it in any way (in-line links, copying of text, graphics, etc.).
      2. It is expressly prohibited to create frames of any kind that enclose the Website or that allow its content to be viewed via Internet addresses other than those of the Website itself, and in particular where such content is displayed alongside third-party content that: (i) causes, or may cause, error, confusion or deception as to the true origin of the service or content; (ii) constitute an act of unfair comparison or imitation; (iii) serve to exploit the reputation of the brand and the prestige of AUDAX; or (iv) are prohibited by current legislation.
  • No false, inaccurate or incorrect statements regarding AUDAX, its activities, its employees or its products and services shall be made on the page containing the link.
  1. Under no circumstances shall the page on which the link is located state that AUDAX has given its consent to its inclusion, nor that it in any other way sponsors, collaborates with, verifies or supervises the services or content of that page.
  2. The use of any trademark — whether word, figurative or combined — or any other distinctive sign of AUDAX on the page containing the link is prohibited, except in cases expressly authorised by AUDAX.
  3. The page on which the link is placed must comply fully with the law and must not contain or link to content that: (i) is unlawful, harmful or contrary to morality and good customs; (ii) mislead the USER into believing that AUDAX endorses, supports or agrees with the ideas or statements of the sender; or (iii) is inappropriate or irrelevant in view of AUDAX’s activities. AUDAX reserves the right to prohibit links to its Website and to demand their removal where they do not comply with the conditions set out in this section.
  • Links to third-party sites: The Website may include links to external pages. Such links are provided for the USER’s information or convenience. AUDAX does not, as a general rule, control the content, policies or practices of third-party sites. AUDAX’s liability in respect of content or services accessible via links is excluded to the extent that AUDAX has no actual knowledge that the linked activity or information is unlawful or infringes the property or rights of third parties giving rise to a claim for compensation, or, should it have such knowledge, acts with due diligence to remove or disable the relevant link. Links do not imply any relationship, recommendation, sponsorship or association between AUDAX and the content or services provided through them. AUDAX reserves the right to unilaterally remove, at any time, any links published on the Website. If the USER considers that a link provides access to unlawful or inappropriate content, they may notify AUDAX in writing by sending an email to comunicaciones@audaxrenovables.com.
  1. INFORMATION SECURITY

AUDAX implements technical and organisational measures designed to preserve the confidentiality, integrity and availability of the information managed via the Website and the systems that support it, with the aim of ensuring service continuity and minimising the risk of security incidents. These measures are reviewed and updated periodically in line with evolving risks, international standards and best practices in the field of information security, and applicable legislation, including regulations on network and information system security. Should the USER detect any vulnerability, anomaly or security incident relating to the Website, they must report it immediately to ciberseguridad@audax.com. AUDAX will handle any reports received in accordance with its internal incident response procedures and, where the incident is classified as significant, will notify the relevant authorities within the timeframes set out in the applicable regulations. In the event that a security incident could compromise personal data, the USER may also contact dpo@audaxrenovables.com

  1. EXCLUSION OF WARRANTIES AND LIABILITY

The USER uses the Website at their own risk. The USER shall be solely liable for any infringements they may commit or for any damage caused to third parties as a result of the improper or unlawful use of the Website. To the extent permitted by applicable law, AUDAX shall not be liable for damages of any kind that may arise from, amongst other things: (a) the lack of availability, continuity or proper functioning of the Website due to force majeure or circumstances beyond AUDAX’s control; (b) Interference, omissions, interruptions, delays or disconnections caused by factors beyond AUDAX’s control, or deficiencies or overloads in telecommunications networks or electronic systems; (c) The presence of harmful elements introduced by third parties; (d) The USER’s misuse of the Website or breach of this Legal Notice; (e) Errors in content provided by third parties that may appear on the Website. The exclusions of warranties and limitations of liability set out in this section are without prejudice to: (i) the mandatory obligations relating to network and information system security that apply to AUDAX in its capacity as a critical entity under current cybersecurity regulations; (ii) the liabilities incumbent upon AUDAX in its capacity as an issuer of listed securities.

  1. REGULATED INFORMATION AND SUPERVISION BY THE CNMV

AUDAX’s regulated information (including significant events, periodic financial information, the structure of significant shareholdings, the Articles of Association and documentation relating to the General Meeting of Shareholders) is available in the section for shareholders and investors on the Website and in the CNMV’s official register of regulated information, accessible at www.cnmv.es. In any event, the official and legally binding repository for AUDAX’s regulated information is the CNMV’s register. The content of the Website does not replace or take precedence over the information disclosed to the CNMV in accordance with current regulations.
